Corporate Governance Compliance

  • Ensure the company complies with the Hong Kong Companies Ordinance, Securities and Futures Ordinance, Listing Rules of the Hong Kong Stock Exchange (HKEX), and other relevant regulations.
  • Advise the board of directors on corporate governance best practices and ensure adherence to the Corporate Governance Code.
  • Maintain and update the company’s corporate governance policies and procedures.
  • Conduct internal audits to ensure compliance with legal and regulatory requirements.
  • Liaise with external regulators, auditors, and legal advisors as needed.

 

Board and Committee Support

  • Organize and prepare agendas, papers, and minutes for board meetings, committee meetings (e.g., audit, remuneration, nomination committees), annual general meetings (AGMs), and any other meetings as and when required.
  • Ensure timely distribution of meeting materials and follow up on action points.
  • Provide guidance to directors on their duties, responsibilities, and regulatory obligations.
  • Handle shareholder inquiries and ensure proper recording of shareholder resolutions.
  • Coordinate with external auditors, legal advisors, and other professional service providers.

 

Statutory and Regulatory Filings 

  • Prepare and file statutory returns, announcements, and disclosures with HK Companies Registry, SFC, and HKEX.
  • Ensure compliance with continuous disclosure obligations, including interim and annual reports, inside information disclosures, and other regulatory filings.
  • Manage the company’s statutory records, including registers of members, directors, and significant shareholders.
  • Ensure proper maintenance and safekeeping of all corporate records, including minutes, resolutions, and statutory registers.
  • Manage the electronic filing systems and ensure accessibility of documents for audits and inspections.
  • Manage changes in directorship, company secretary, and registered office details.
  • Oversee the incorporation, dissolution, or restructuring of subsidiaries and associated entities.

 

Key Skills and Qualifications:

  • University graduate or equivalent.
  • Professional qualification in Company Secretarial practice (HKCGI / HKICS / ICSA or equivalent)
  • Minimum 5 years relevant working experience  in listed companies.
  • In-depth knowledge of Hong Kong corporate law, securities regulations, and listing rules.
  • Strong organizational, communication, and interpersonal skills.
  • Attention to detail and ability to manage multiple deadlines.
  • Proficiency in English and Chinese (Cantonese and/or Mandarin) is often required.
  • Immediate available candidates highly regarded.
