Job Title: Legal Director – Venture Capital & Private Equity Investments

Headquartered in Hong Kong, our firm advises global funds, startups, and institutional investors on transformative deals that shape the future of innovation and finance. We are seeking an experienced Legal Director to join our dynamic team and drive legal excellence in our investment activities.

Job Overview:

The Legal Director will play a pivotal role in overseeing all legal aspects of our venture capital and private equity investments. Based in Hong Kong, this individual will lead complex transactions, provide strategic counsel to senior stakeholders, and ensure compliance with local and international regulations. Fluency in Chinese (Mandarin and Cantonese) is essential to navigate negotiations and legal documentation in the region.

Key Responsibilities:

• Oversee and manage legal structuring, drafting, and negotiation of venture capital and private equity deals, including term sheets, shareholder agreements, and investment contracts.
• Provide expert legal advice on fund formation, governance, and regulatory compliance in Hong Kong and across jurisdictions in Asia.
• Conduct due diligence on target companies, identifying legal risks and advising on mitigation strategies.
• Collaborate with investment teams, external counsel, and portfolio companies to execute transactions efficiently and align with business objectives.
• Monitor and ensure compliance with Hong Kong laws, SFC regulations, and other relevant legal frameworks affecting VC/PE investments.
• Lead negotiations with Chinese-speaking stakeholders, leveraging fluency in Mandarin and Cantonese to build strong relationships and facilitate seamless communication.
• Manage and mentor a small team of legal professionals, fostering a culture of excellence and continuous learning.
• Stay abreast of legal trends and market developments in the VC/PE space, providing proactive recommendations to senior leadership.

Qualifications & Experience:

• Qualified lawyer with a minimum of 12 years of post-qualification experience (PQE), ideally gained in a top-tier law firm or in-house at a VC/PE firm.
• Extensive experience in venture capital and private equity transactions, including deal structuring, exits, and portfolio management.
• Strong understanding of Hong Kong corporate law, securities regulations, and cross-border investment frameworks.
• Fluency in English and Chinese (Mandarin and Cantonese) is mandatory; proficiency in drafting and negotiating legal documents in Chinese is highly preferred.
• Proven track record of leading high-stakes negotiations and managing complex transactions in the Asia-Pacific region.
• Exceptional analytical skills, attention to detail, and the ability to balance legal risks with commercial objectives.
• Leadership experience with the ability to mentor and inspire junior team members.
