Responsibilities
Provide corporate secretarial support to DBS HK group entities
Ensure DBS HK group entities are in compliance with relevant legal and regulatory requirements, including under the Companies Ordinance, Banking Ordinance, Securities and Futures Ordinance, Business Registration Ordinance, various regulations and guidelines issued by the Hong Kong Monetary Authority (HKMA) and the Securities and Futures Commission (SFC)
Maintain accurate and up-to-date statutory records and ensure timely filing of statutory returns and regulatory notifications
Support Directors in fulfilling their statutory duties, complying with disclosure obligations and corporate governance requirements as well as devising effective board processes.
Liaise with Board members and Senior Management as well as regulators and professional advisers, such as lawyers and auditors
Facilitate the Board of Directors’ decision making and implementation of corporate strategies
Assist with organizing and recording proceedings of Board, Board committees and certain Management committees meetings as well as follow up on actions from the meetings
Provide support to Business and Support Units in seeking the Board's approval on proposals and other corporate transactions
Monitor changes in relevant legislation and the regulatory environment, in particular in respect of corporate governance to ensure ongoing compliance
Liaise with Secretariat teams in all DBS markets and other departments (e.g. Compliance, Finance, Risk Management and Human Resources) to enable groupwide corporate governance and compliance with local laws and regulations
Requirements
Associate/Fellow member of the Institute of Company Secretaryship and Administration, legal practitioner or degree holder in relevant discipline.
Minimum 5 years’ of solid corporate secretarial experience with large corporations in Hong Kong.
Relevant experience with financial institutions would be an advantage
Good knowledge of relevant statutory and regulatory requirements as well as standard company secretarial practices
Strong language capabilities, proficient in English and Chinese
