Job Overview

Our client a prominent company headquartered in Hong Kong, is seeking a skilled and strategic Deputy General Counsel to join its Legal Department. This pivotal role will support the General Counsel in managing the company’s legal operations, ensuring compliance with applicable laws, and addressing legal risks across the organization. The position offers a clear pathway for career advancement, with the potential to succeed the current General Counsel, providing an opportunity to shape the company’s legal strategy in a dynamic business environment.


Key Responsibilities

  • Legal Advisory: Deliver practical and high-quality legal advice to senior management, business units, and stakeholders on corporate governance, commercial agreements, and operational matters.
  • Regulatory Compliance: Ensure compliance with Hong Kong laws and regulations, including the Companies Ordinance and other relevant statutory requirements, as well as industry-specific standards.
  • Transactional Support: Oversee and advise on commercial transactions, including contract drafting, negotiations, and strategic partnerships, ensuring alignment with business objectives.
  • Risk Management: Identify and mitigate legal and compliance risks, working collaboratively with internal teams and external advisors.
  • Policy Implementation: Assist in developing and enforcing legal and compliance policies, procedures, and training initiatives to enhance the company’s governance structure.
  • Dispute Resolution: Manage legal disputes, including litigation and arbitration, coordinating with external counsel as necessary.
  • Team Oversight: Support the General Counsel in leading the legal team, mentoring junior staff, and fostering a collaborative and efficient department.
  • Succession Preparation: Collaborate closely with the General Counsel to gain a thorough understanding of the company’s legal and business operations, positioning the Deputy General Counsel as a potential successor.
  • External Relations: Engage with regulators, external legal advisors, and other key stakeholders to support the company’s legal and operational goals.


Qualifications and Experience

  • Education: Qualified lawyer with a Bachelor of Laws (LLB) or equivalent degree; admitted to practice in Hong Kong or a recognized common law jurisdiction.
  • Experience: Minimum of 10-12 years of post-qualification experience (PQE), with substantial expertise in corporate law, compliance, and governance, gained in-house or at a reputable law firm.
  • Industry Exposure: Familiarity with [industry/sector] is preferred, along with a solid understanding of the Hong Kong legal and regulatory landscape.
  • Leadership: Demonstrated ability to manage teams, handle complex legal matters, and build effective relationships with internal and external parties.
  • Strategic Acumen: Proven capacity to provide business-oriented legal solutions and contribute to organizational strategy.
  • Language Skills: Fluency in English and Cantonese required; proficiency in Mandarin is highly advantageous.
