We are seeking an experienced and proactive Senior Legal Counsel to join our dynamic legal team in Hong Kong. The successful candidate will provide expert legal advice and support to the organization, with a primary focus on corporate commercial transactions and real estate leasing matters. This role requires a deep understanding of Hong Kong law, strong business acumen, and the ability to manage complex legal issues in a fast-paced environment. The Senior Legal Counsel will collaborate closely with internal stakeholders and external partners to ensure compliance, mitigate risks, and support the organization’s strategic objectives.
Key Responsibilities
Corporate Commercial Support:
Draft, review, and negotiate a wide range of commercial agreements, including joint ventures, shareholder agreements, service contracts, and partnership arrangements.
Advise on corporate governance, regulatory compliance, and risk management under Hong Kong law.
Support mergers, acquisitions, and other corporate transactions, including due diligence and structuring advice.
Provide legal guidance on cross-border commercial matters involving Hong Kong and mainland China or other jurisdictions.
Real Estate Leasing:
Oversee legal aspects of commercial and residential leasing transactions, including drafting and negotiating lease agreements, renewals, and terminations.
Advise on landlord-tenant disputes, property management agreements, and compliance with Hong Kong property laws and regulations.
Collaborate with internal real estate teams and external property agents to ensure seamless execution of leasing deals.
Conduct risk assessments and provide solutions for complex real estate issues, such as title disputes or regulatory changes.
General Legal Advisory:
Act as a trusted advisor to senior management on legal risks, business strategies, and operational matters.
Monitor changes in Hong Kong legislation and industry trends, ensuring the organization remains compliant and competitive.
Manage external legal counsel when required, optimizing costs and ensuring alignment with organizational goals.
Handle dispute resolution, including litigation and mediation, related to corporate and real estate matters.
Qualifications and Experience
Qualified lawyer with a valid practicing certificate in Hong Kong (or equivalent common law jurisdiction with eligibility to practice in Hong Kong).
Minimum of 10 years of post-qualification experience (PQE), with a strong focus on corporate commercial law and real estate leasing.
In-house experience with a reputable organization or extensive private practice experience advising corporate clients in Hong Kong.
Proven track record of handling complex commercial transactions and real estate leasing deals.
Familiarity with Hong Kong Companies Ordinance, Conveyancing and Property Ordinance, and other relevant regulations.
Experience working with cross-border transactions or in the Greater Bay Area is an advantage.
Skills and Competencies
Excellent drafting, negotiation, and communication skills in English; proficiency in Cantonese and/or Mandarin is highly desirable.
Strong analytical and problem-solving abilities with a pragmatic, business-oriented approach.
Ability to work independently and manage multiple priorities under tight deadlines.
High level of integrity, professionalism, and attention to detail.
Collaborative team player with the ability to build strong relationships with internal and external stakeholders.
