Location: Hong Kong

Position Type:  Full Time, Contract

Reports to: Vice President, General Counsel APAC

                                                                               

Responsibilities:

  • Manage and oversee over 30 group companies in APAC on regulatory compliance in relevant jurisdictions (e.g., HK, China, India, Australia, Japan, Korea, Thailand, Singapore, Taiwan, etc.)

  • Develop and establish corporate governance strategies, frameworks, polices, and procedures to ensure compliance with regulatory and ethical standards

  • Act as Company Secretary of group company in Hong Kong to ensure timely filing of prescribed forms to Companies Registry of Hong Kong and prepare and maintain all resolutions and other corporate records for the company (e.g., Annual Return, Register of Significant Controllers, Register of Member, etc.)

  • Coordinate and prepare for different board and general meetings to ensure proper conduct of statutory meetings by each group company in APAC

  • Advise and update board members and other senior management personnel on latest requirements of the Company Laws, their fiduciary duties and other legal responsibilities and obligations in relevant jurisdictions in APAC

  • Actively prepare, review and update from time to time any internal governance documents, such as articles of association and internal protocol, guidelines and approval matrix of each group company in APAC

  • Closely liaise with internal stakeholders and external service providers to ensure compliance with group guidelines and statutory and regulatory requirements by each group company in APAC

  • Provide progress reports to headquarter from time to time

  • Maintain high standard of governance practice within the group of companies in APAC and manage administrative function of the Legal team in APAC

 

Requirements:

  • Bachelor’s degree in Law, Corporate Governance, Business Administration or a related field

  • Prior experience in corporate governance, compliance, or a related area is a must

  • Extensive knowledge in the Company Laws and corporate requirements in HK, China, India, Australia, Japan, Korea, Thailand, Singapore, Taiwan, etc. will be an added advantage

  • Registered Member of HKCGI / CGI of other jurisdictions in APAC

  • Strong analytical, communication and organizational skills

  • Ability to work independently and as part of a team

  • Excellent command of both written and spoken English and Chinese, able to read & type simplified Chinese
