With a commitment to delivering innovative investment solutions and exceptional client service, we are seeking a talented Legal Counsel to join our dynamic legal team.


Job Summary

We are looking for an experienced Legal Counsel with 5-10 years of post-qualification experience (PQE) to provide strategic legal support across our global operations. The successful candidate will advise on a broad range of legal matters, including investment management agreements, regulatory compliance, corporate governance, and transactional support. This role requires a proactive, commercially minded lawyer with strong expertise in financial services and asset management.


Key Responsibilities

  • Draft, review, and negotiate a variety of commercial agreements, including investment management agreements (IMAs), non-disclosure agreements (NDAs), vendor contracts, and distribution agreements.
  • Provide legal advice on regulatory matters, including compliance with SFC, SEC, FCA, MiFID II, AIFMD, UCITS, and other relevant frameworks.
  • Support the structuring, launch, and ongoing management of investment funds, including private funds, mutual funds, and ETFs.
  • Collaborate with internal stakeholders (e.g., portfolio management, compliance, risk, and operations) to ensure alignment with legal and regulatory requirements.
  • Advise on corporate governance, including board matters, policies, and procedures.
  • Assist with transactional matters, such as M&A, joint ventures, and strategic partnerships.
  • Monitor and interpret changes in laws and regulations affecting the asset management industry, providing actionable guidance to the business.
  • Manage external counsel relationships and oversee litigation or disputes as needed.
  • Contribute to the development and delivery of training programs on legal and compliance topics for employees.


Qualifications & Experience

  • Qualified lawyer with 5-10 years of PQE, gained in a top-tier law firm and/or in-house at a financial services institution (asset management experience preferred).
  • Strong knowledge of financial services regulations and investment products (e.g., funds, derivatives, securities).
  • Proven experience drafting and negotiating complex commercial contracts.
  • Familiarity with cross-border legal and regulatory issues in the asset management industry.
  • Excellent analytical skills and the ability to provide practical, business-oriented legal advice.
  • Bachelor’s degree in Law (or equivalent); admission to practice in Hong Kong, US or a Common Wealth jurisdicition
